General Business Terms and Conditions for the Presentation and Sale of Artworks by Organisations via the www.europeanart.sk or www.europeanart.eu Web Domain&nbsp;Chapter IGeneral Provisions&nbsp;Article 1Definitions1.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; For the purpose of the present&nbsp; General Terms and Conditions, the following terms shall have the following meanings1.1.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; The Copyright Act is the Act No 185/2015 Coll., the Copyright Act, as amended, 1.1.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Artwork is a result of an Artist’s creative activity that meets the copyright object requirements, as specified in the Copyright Act,1.1.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; europeanart.sk is the www.europeanart.sk or www.europeanart.eu web domain,1.1.4.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; The Civil Code is the Act No 40/1964 Coll., the Civil Code, as amended,1.1.5.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; The Commercial Code is the Act no 513/1991 Coll., the Commercial Code, as amended, 1.1.6.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Organisation is a legal entity, an authority of the governmental, territorial, or interest administration, or any other institution exhibiting an Artist’s Artwork or also offers it for sale via <a href="http://www.europeanart.sk/">europeanart.sk</a>, in compliance with these GBTC,1.1.7.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Operator is the Creative Design s.r.o., a company with the registered office at Topoľová 1983/13, 914 41 Nemšová, Slovakia, Company Registration Number: 47 617 713, incorporated in the Business Register maintained with the District Court Trenčín, Section: Sro, File No. 29986/R, postal address: Topoľová 1983/13, 914 41 Nemšová, Slovakia, tel. contact: +421 903 697 886, e-mail: lubka@creatived.sk1.1.8.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Artist is a natural person who created an Artwork,1.1.9.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Virtual Gallery is a functionality of the europeanart.sk enabling the exhibition and viewing of the exhibited Artworks in the electronic environment imitating the real or fictive environment, 1.1.10.&nbsp;&nbsp;&nbsp; GBTC shall mean these General Business Terms and Conditions for the Presentation and Sale of Artworks by an Organisation via the <a href="http://www.europeanart.sk/">europeanart.sk</a> web domain,1.1.11.&nbsp;&nbsp;&nbsp; The Alternative Resolution of Consumer Disputes Act is the Act No 391/2015 Coll. on Alternative Resolution of Consumer Disputes and on amendment and supplementation of certain acts, as amended,1.1.12.&nbsp;&nbsp;&nbsp; The Act on Consumer Protection in the Sale of Goods or Services under Remote Agreements is the Act No 102/2014 Coll. on Consumer Protection in the Sale of Goods or Services under Remote Agreements Or Agreements Executed Outside Business Premises of the Seller on amendment and supplementation of certain acts, as amended,1.1.13.&nbsp;&nbsp;&nbsp; Interested Party is any natural person, legal entity, or any other person or entity possessing the legal capacity, visiting the europeanart.sk.&nbsp; &nbsp;Article 2Subject-Matter of the GBTC2.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; These GBTC set forth the rights and obligations of the Operator, an Organisation and Interested Parties related to the registration of an Organisation, the presentation and sale of Artworks. &nbsp;&nbsp;&nbsp;Article 3Operator3.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Operator provides the presentation of Artworks created by Artists via the europeanart.sk with an option to sell these Artworks by Organisations to Interested Parties.3.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Operator is neither a seller of Artworks, nor an intermediary of sale of Artworks, as specified in the Civil Code, in the Commercial Code, or in any other applicable legal regulation.3.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Operator is entitled to carry out the following, unilaterally and without any additional restrictive conditions3.3.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; cancellation of an Organisation’s registration in the case of Organisation’s violation of these GBTC,3.3.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; cancellation of an Organisation’s registration in the case of expiry of the paid subscription period related to the provided service,3.3.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; deletion of data on any Artwork exhibited at <a href="http://www.europeanart.sk/">europeanart.sk</a>, should it be observed that the exhibiting of such Artwork represents, or might represent, the violation of the general legal regulations, or intervenes, or might intervene, with any third-party rights,&nbsp;&nbsp; 3.3.4.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; modification of a form and the contents of the user interface at the europeanart.sk,3.3.5.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; termination of the registration and use of the europeanart.sk domain, without an obligation to state a reason. In such case, the Operator is obliged to compensate an Organisation for the unused subscription fee.&nbsp;&nbsp; &nbsp;Article 4Representations and Warranties&nbsp;4.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Operator shall not be held liable for the following4.1.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; incorrectness or incompleteness of data on an Organisation or an Artist published at <a href="http://www.europeanart.sk/">europeanart.sk</a>,4.1.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Organisation’s failure to adhere to the generally binding legal regulations within the presentation and sale of an Artwork, especially, but not limited to, the rights and obligations related to intellectual property, tax law, customs law, administration law, commercial law, or civil law,4.1.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; incorrectness or incompleteness of data on an Artwork exhibited at <a href="http://www.europeanart.sk/">europeanart.sk</a>, 4.1.4.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; non-originality, poor quality, factual and legal defectiveness of an Artwork exhibited at <a href="http://www.europeanart.sk/">europeanart.sk</a>,4.1.5.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; non-authenticity of images depicting an Artwork exhibited at <a href="http://www.europeanart.sk/">europeanart.sk</a>,4.1.6.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; unavailability of an Artwork exhibited at <a href="http://www.europeanart.sk/">europeanart.sk</a> or the violation of the Organisation’s obligation of timely or proper delivery thereof,4.1.7.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; violation of any of the obligations established between an Organisation and an Interested Party during the negotiations regarding the conclusion of an agreement and by the agreement with the subject-matter being any manipulation with an Artwork, in particular any theft of property rights to an Artwork, especially, but not limited to, the rights and obligations related to the delivery of Artwork, payment of the price of an Artwork, exercise of rights resulting from the liability for defects or damage, withdrawal from the agreement, etc.,4.1.8.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; temporary malfunction of europeanart.sk due to technical failures or due to the necessity to carry out technical maintenance on the Operator’s side, a domain registering entity’s side, or a webhosting provider’s side.4.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Operator shall be held liable for the defects to the services provided in compliance with the Civil Code. A claim, complaint, or an incentive should be submitted without any delay, in writing, to the Operator’s postal address or e-mail address specified in these GBTC. A person aggrieved shall be notified of the result of their claim, complaint, or incentive in writing.Chapter IIPresentation and Sale of Artworks&nbsp;Article 5Registration5.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; The presentation and the sale of Artworks by an Organisation at europeanart.sk require the Organisation’s registration. Upon confirming the registration, a contractual legal relationship becomes established between the Operator and an Organisation, concluded remotely, under which the Operator undertakes, for the period of subscribing the service, provided that such subscription is required, but not after the termination of the Organisation’s registration period, to provide an Organisation with a service selected by the Organisation (Article 6) and the Organisation undertakes to pay to the Operator for the provided service, unless such service is provided by the Operator free of charge, under the conditions defined in these GBTC and arising from the applicable legal regulations.&nbsp; 5.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; One Organisation may only have one registration at europeanart.sk. 5.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Registration shall only become effective and binding upon an Organisation’s consent with these GBTC granted at the registration and upon an Organisation’s commitment to abide by these GBTC. 5.4.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; By confirming their registration, an Organisation acknowledges to5.4.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; be fully competent to perform legal actions,5.4.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; hold property rights authorising such use of Artworks presented and sold by the Organisation under a legal or contractual licence, as specified in the Copyright Act,5.4.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; have become familiar with these GBTC and accept them without any reservations,5.4.4.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; be instructed by the Operator that due to the fact that the service is provided to an Organisation prior to the expiry of the period for the withdrawal from an agreement, by granting the consent to the provision of the service prior to the expiry of the period for the withdrawal from an agreement, the Organisation loses their right to withdraw from an agreement,5.4.5.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; be notified of an option and conditions regarding dispute settlement while applying the system of alternative dispute resolution, as specified by the Alternative Resolution of Consumer Disputes Act,5.4.6.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; be familiar with the fact that the registration includes also the obligation to pay the price, provided that the service charged. &nbsp;Article 6Prices of Products&nbsp;6.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; At the registration, an Organisation is provided the following product package:6.1.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Business Basic, under the following conditions:6.1.1.1. the maximum number of exhibited Artworks: 4,6.1.1.2. number of subscribed exhibitions in the Virtual Gallery: 0,6.1.1.3. package price: FREE,6.1.1.4. package use period duration: 1 year since the first organisation registration.6.1.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Business Standard, under the following conditions:6.1.2.1. the maximum number of exhibited Artworks: 25,6.1.2.2. the maximum number of exhibitions in the Virtual Gallery: 1; at the first registration of an Organisation, the Operator provides an Organisation with the Virtual Gallery package free of charge for the period of two weeks,6.1.2.3. number of subscribed exhibitions in the Virtual Gallery: 0,6.1.2.4. package price: EUR 45,6.1.2.5. package use period duration: 1 year since it is purchased.6.1.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Virtual Gallery under the following conditions:6.1.3.1. 6.1.1.2.&nbsp;&nbsp;&nbsp; package price: 6.1.3.1.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; basic virtual gallery: EUR 5,6.1.3.2. package use period duration: two weeks since it is purchased.6.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; The price for the provided service shall be settled via the online payment service at https://www.besteron.sk/ or by the integration online card payment method provided by Braintree at https://www.braintreegateway.com. The registration shall only become effective upon the payment of the subscription fee for the selected package.&nbsp;Article 7Organisation’s Rights and Obligations&nbsp;7.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Organisation is obliged:7.1.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; to state complete and true information on themselves and on the exhibited Artwork,7.1.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; in the case of stating incomplete and untrue information, to correct or supplement such information without undue delay,7.1.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; to update the provided information on themselves or on the exhibited Artwork without any delay.7.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Organisation explicitly agrees that7.2.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; the Operator shall provide an Organisation with the service prior to the expiry of the period for the withdrawal from an agreement, as specified in the Act on Consumer Protection in the Sale of Goods or Services under Remote Agreements; therefore, the Organisation loses their right to withdraw from an agreement after the service is provided in the full extent,7.2.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; their entitlement to receive back the unused subscription fee, or an aliquot portion thereof, shall cease to exist, should&nbsp; 7.2.2.1.&nbsp; the Organisation voluntarily cancel their registration prior to the expiry of their subscription period,7.2.2.2.&nbsp; the Operator cancel the Organisation’s registration under the conditions specified in Article III paragraphs 3.3.1. or 3.3.2..7.3.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Organisation is entitled to:7.3.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; withdraw from a service agreement concluded with the Operator under the conditions arising from the Act on Consumer Protection in the Sale of Goods or Services under Remote Agreements, particularly in the case that the Organisation’s position in the legal relationship with the Operator is the position of a consumer. &nbsp;&nbsp;Chapter IIICopyright &nbsp;Article 8 Copyright Protection&nbsp;8.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; These GBTC apply without prejudice to an Organisation’s rights and obligations arising from the Copyright Act or from other applicable legal regulations.&nbsp;Chapter IVConcluding Provisions&nbsp;Article 99.1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Operator shall arrange that these GBTC are published, in an updated version, at the europeanart.sk website during the period of valid registration and use of the europeanart.sk domain.9.2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Operator reserves the right to amend or supplement these GBTC at any time without a prior notice. &nbsp;
